General Terms and Conditions for NeoFuels

Preamble

NeoFuels is an offering of interaid GmbH (hereinafter referred to as "NeoFuels").

NeoFuels facilitates contact between suppliers of fuels, in particular synthetic fuels and motorsport fuels (hereinafter "Sellers"), and interested parties (hereinafter "Buyers"). Sellers and Buyers are collectively referred to as "Users".

The platform is aimed at both entrepreneurs within the meaning of § 14 of the German Civil Code (BGB) and consumers within the meaning of § 13 BGB.

NeoFuels provides Users with an internet-based platform through which product information on fuels can be viewed, individual product catalogues can be created, and enquiries relating to specific products or deliveries can be generated and transmitted to other Users. Sellers have the ability to present their products with technical specifications, packaging sizes, prices, and delivery options. Buyers can use this information to submit targeted enquiries and establish contact with suppliers.

The platform serves exclusively the presentation of information and the initiation of business contacts. NeoFuels does not operate a marketplace in the legal sense and does not act, in particular, as a seller, supplier, or as an intermediary of any specific purchase agreement. The activities of NeoFuels are limited to the technical provision of the platform and the facilitation of contact between Users. No contractual agreement is concluded via the platform. Contracts for the supply of fuels or other services are concluded exclusively outside the platform and directly between the respective Users.

§1 Computer System

Access to the platform is provided via the internet using a standard commercially available web browser. A password-protected user account is required to use the platform.

NeoFuels endeavours to make the platform accessible on a wide range of devices and with various browsers and browser versions. In the course of technical development, NeoFuels reserves the right to discontinue support for outdated systems after an appropriate period of notice.

§2 Use, Contractual Relationship and Termination

The usage relationship commences upon activation of the user account and is concluded for an indefinite period. It may be terminated by either party at any time without notice.

There is no entitlement to use the platform.

Upon activation, the User acknowledges these General Terms and Conditions in their respective current version. NeoFuels is entitled to amend these terms with effect for the future.

Amendments will be communicated to the User in text form. If the User does not object to the amendments within six weeks of receipt of the notification, they shall be deemed accepted. The User will be specifically informed of the right to object and the applicable deadline in the notification.

NeoFuels is entitled to temporarily suspend or permanently exclude Users in the event of violations of these terms or misuse of the platform.

§3 Registration and User Account

Use of the platform requires registration. The User is obligated to provide complete and truthful information and to update such information without delay in the event of any changes.

NeoFuels is not obligated to verify the identity of Users or the accuracy of the information provided.

The User is obligated to keep their access credentials confidential and to protect them from access by unauthorised third parties. The User shall be liable for all activities carried out under their user account, to the extent that the User is responsible for such activities.

§4 Use of the Platform

The platform enables Users to present and search product information, as well as to create enquiries and transmit them to other Users.

Users undertake to use the platform exclusively within the scope of its intended purpose. In particular, it is prohibited to provide false, misleading or incomplete information, or to post content that violates statutory provisions or third-party rights.

NeoFuels is not obligated to review or monitor content, product data, enquiries, or communications between Users.

§5 Facilitation of Contact and No Conclusion of Contract

NeoFuels provides exclusively the technical infrastructure to enable Users to present products, transmit enquiries, and initiate business contacts.

The products, prices, availability, and other information displayed on the platform do not constitute binding offers in the legal sense. Equally, the submission of an enquiry does not constitute a binding offer.

NeoFuels does not operate a marketplace in the legal sense and does not become a contractual party to agreements concluded between Users.

NeoFuels is not obligated to forward enquiries, to establish contact, or to ensure the success of any contact initiation. There is no entitlement to successful contact facilitation.

Contracts are concluded exclusively outside the platform and directly between the respective Users.

§6 Information, Prices and Technical Specifications

The information displayed on the platform, in particular regarding products, prices, availability, technical specifications, or regulatory properties, is provided solely for non-binding informational purposes.

NeoFuels provides no warranty as to the accuracy, completeness, timeliness, or comparability of such information. This applies in particular to price information, technical data, standards, classifications, and statements regarding suitability or conformity for specific applications, especially in motorsport.

Sole responsibility for all content rests with the respective Users who provide it.

§7 Usage Fees

Use of the platform is currently free of charge for Users.

There is no entitlement to permanent free use.

NeoFuels reserves the right to introduce fees for individual features or the use of the platform as a whole in the future. In such case, Users will be informed in good time prior to the changes taking effect. Continued use of the platform after the changes take effect shall constitute acceptance of the new terms.

§8 Billing

To the extent that fees have been agreed for individual services, billing shall be carried out on the basis of the agreement concluded between NeoFuels and the User.

Invoices will be made available in electronic form.

In the event of default in payment, NeoFuels is entitled to restrict or suspend access to the platform, in whole or in part, until outstanding amounts have been settled.

The User shall only be entitled to exercise a right of retention or to set off claims to the extent that their counterclaims are undisputed or have been established by final and binding judgment.

§9 Transaction Processing and Delivery

The initiation, execution, and processing of transactions shall take place exclusively between Users.

NeoFuels is neither involved in the execution of contracts nor does it assume any role in payment processing, delivery, transport, storage, or the handover of goods.

§10 Right of Withdrawal

To the extent that contacts between Users are established via the platform, contracts are concluded exclusively between the respective Users and not with NeoFuels.

Where consumers are parties to such contracts, statutory rights of withdrawal may apply. NeoFuels is not a party to these contracts and assumes no responsibility for the existence, exercise, or processing of any rights of withdrawal.

The clarification of any rights of withdrawal shall take place exclusively between the respective contracting parties.

§11 Data Protection

The processing of personal data is carried out in accordance with the General Data Protection Regulation (GDPR). Further information on the processing of personal data can be found in the separate privacy policy of the platform.

§12 Content and Data

All content published on the platform is protected by copyright. Any use outside the platform requires the prior consent of NeoFuels.

Automated access to platform data is prohibited.

Users undertake to treat all information received via the platform as confidential, in particular information relating to prices, quantities, terms, delivery locations, and business partners, and not to disclose such information to third parties without the consent of the User concerned, unless a statutory obligation to disclose exists.

§13 Liability

NeoFuels assumes no liability for User-generated content, in particular not for the accuracy, completeness, or timeliness of information relating to products, prices, technical specifications, or other information.

Equally, NeoFuels is not liable for the conclusion of contracts between Users, nor for their content, performance, or settlement. In particular, non-delivery, defective delivery, or non-payment between Users shall not give rise to any claims against NeoFuels.

NeoFuels assumes no liability for the content of external providers referenced via links or other references on the platform.

NeoFuels endeavours to ensure the highest possible availability of the platform, but provides no guarantee of continuous and uninterrupted accessibility.

NeoFuels shall have unlimited liability in cases of wilful misconduct and gross negligence, as well as for damages arising from injury to life, body, or health.

In the event of slightly negligent breach of material contractual obligations, liability shall be limited to the foreseeable, contract-typical damage at the time of conclusion of the contract.

All other liability is excluded to the extent permitted by law.

Use of the platform and the use of the products displayed or traded thereon is at the User's own risk. NeoFuels is not liable, in particular, for damage arising from the use of fuels in motorsport, at events, or in commercial applications, including engine damage, technical defects, failures, or any consequential damage resulting therefrom.

§15 Final Provisions

For all legal disputes with merchants, legal entities under public law, or special funds under public law, the place of jurisdiction shall be Berlin, to the extent permitted by law.

The law of the Federal Republic of Germany applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Should individual provisions of these General Terms and Conditions be or become wholly or partially invalid, the validity of the remaining provisions shall not be affected.
